TERMS & CONDITIONS (MARKETPLACE)

1. Definitions

Platform: The online marketplace operated by RentNShine enabling users to list, rent, or sell dresses.

User: Any individual or business registered on the Platform.

Individual Seller: A natural person selling or renting personal items.

Business Seller: A registered business providing dresses for rent or sale and supplying an NTN.

Buyer/Renter: A user purchasing or renting a dress.

Commission: The service fee charged by the Platform on each successful transaction.

2. Platform Role & Nature of Service

  • The Platform acts solely as a technology intermediary facilitating transactions between Buyers/Renters and Sellers.
  • The Platform does not own any dresses listed.
  • The Platform does not manufacture, inspect, or guarantee any item.
  • The Platform is not a party to the rental or sale agreement between users, except for facilitating payment and commission collection.

3. Eligibility & Account Registration

Users must:

  • Be at least 18 years of age
  • Provide accurate and complete information
  • Maintain only one account unless approved otherwise

Business Sellers must:

  • Provide a valid National Tax Number (NTN)
  • Declare themselves as a business during onboarding

The Platform reserves the right to suspend or terminate accounts for false information or misuse.

4. Products & Content Responsibility

Sellers are responsible for:

  • Accurate descriptions
  • Authentic images
  • Correct pricing
  • Disclosure of defects or wear

Prohibited products include:

  • Counterfeit items
  • Illegal goods
  • Items violating intellectual property rights
  • Content that is misleading, offensive, or unlawful

The Platform may remove any product without prior notice if it violates these terms.

5. Pricing, Payments & Commission

  • Sellers set their own prices.
  • The Platform charges a commission per completed transaction, disclosed transparently before adding a product.
  • Payments are processed through approved payment gateways.
  • The Platform may temporarily hold funds to facilitate order completion and dispute handling.

6. Tax Responsibility (Critical Clause)

  • The Platform is taxed only on its commission income.
  • Sellers are solely responsible for declaring and paying taxes on their earnings.
  • The Platform does not provide tax advice or file taxes on behalf of sellers.
  • Business Sellers must provide a valid NTN and handle their own tax filings.
  • Transaction summaries may be provided for record-keeping purposes.

7. Seller Payouts

  • Seller payouts are processed after successful completion of the transaction.
  • Payout schedules may be:
    • Immediate
    • Weekly
    • Monthly
    • (as defined in the Seller Dashboard)
  • The Platform may delay payouts in case of disputes, fraud review, or regulatory requirements.

8. Rentals: Responsibility & Liability

For rental transactions:

  • Sellers are responsible for item condition at dispatch.
  • Renters are responsible for returning items in agreed condition and timeframe.
  • Damage, late return, or loss handling is governed by the rental agreement shown at checkout.
  • The Platform may provide optional dispute mediation but is not liable for damages.

9. Disputes & Resolution

  • Users are encouraged to resolve disputes amicably.
  • The Platform may intervene to review evidence (photos, messages, delivery proof).
  • The Platform's decision in disputes is final for Platform-related actions (refunds, account flags).

10. AI & Image Enhancement Tools

  • The Platform may offer AI-powered tools to enhance product images.
  • Sellers remain responsible for the accuracy of final images.
  • AI tools are provided "as-is" without warranties.

11. Limitation of Liability

The Platform is not liable for:

  • Seller or buyer misconduct
  • Quality or authenticity of items
  • Delays caused by logistics providers
  • Indirect or consequential losses

Maximum liability, if any, shall not exceed the Platform commission earned from the disputed transaction.

12. Account Suspension & Termination

The Platform may suspend or terminate accounts for:

  • Fraud or abuse
  • Policy violations
  • Regulatory or legal requirements

Users may terminate accounts at any time, subject to settlement of pending obligations.

13. Governing Law

These Terms are governed by the laws of Pakistan, and disputes shall be subject to local jurisdiction.

14. Amendments

The Platform may update these Terms periodically. Continued use constitutes acceptance of revised terms.
